These Terms & Conditions ("Terms") govern your purchase and use of Exordium (the "Software"), provided by Ichorvalen Inc. ("Ichorvalen", "we", "us"). By downloading, installing, or purchasing Exordium, you agree to these Terms.
1. Licence
When you purchase Exordium you receive a personal, non-exclusive, non-transferable licence to install and use the Software for the major version you purchased (for example, "Exordium 1"). The licence is perpetual for that major version and includes all updates released for it. Future major versions are separate, optional paid upgrades.
You may not:
- resell, share, sublicense, or distribute your licence key or the Software;
- circumvent, remove, or tamper with the licensing or trial mechanisms;
- use the Software for unlawful purposes.
2. Free trial
Exordium offers a free trial of 7 days of use (counted by distinct days you open the app). The trial is provided so you can evaluate the Software before purchasing. After the trial, a valid licence is required to continue using paid features.
3. Payments
Orders and payments are processed by our reseller and Merchant of Record, Paddle (Paddle.com Market Limited). Paddle handles the transaction, billing, and applicable taxes, and their Buyer Terms also apply to your purchase. Prices are shown in USD unless otherwise stated.
4. Refunds
Refunds are governed by our Refund Policy.
5. Disclaimer of warranties
The Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that the Software will be error-free or uninterrupted. AI features rely on third-party local models and their output is not guaranteed.
6. Limitation of liability
To the maximum extent permitted by law, Ichorvalen Inc. shall not be liable for any indirect, incidental, or consequential damages, or for any loss of data, arising from your use of the Software. You are responsible for backing up your projects.
7. Changes
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of the Software after changes constitutes acceptance.
8. Governing law
These Terms are governed by the laws of the jurisdiction in which Ichorvalen Inc. is established, without regard to conflict-of-law principles.
